Terms and Conditions

These terms and conditions (these ”Offer Terms”) govern Your use of promotional credits, incentives, or other offers offered or provided by Apple relating to Your use of the Services pursuant to the Apple Advertising Services Terms of Service (the “Terms of Service”). Capitalized terms that are used and not defined in these Offer Terms have the meanings assigned to them in the Terms of Service. In case of a direct and irreconcilable conflict between any term or condition of these Offer Terms and those in any separate agreement between You and Apple relating to promotional credits, incentives, or other offers to be applied toward Your use of the Services, the latter shall take precedence.

1.  Promotional Credit Offers

Apple may, from time to time and at its discretion, offer or provide promotional credits, incentives, or other offers that can be applied toward Your use of the Services (each an “Offer”). Each Offer is subject to these Offer Terms, as well as all eligibility criteria, restrictions, and limitations applicable to the Offer as specified by Apple, including, but not limited to, at ads.apple.com/credit-eligibility-criteria-and-limitations (the “Eligibility Criteria”). Your acceptance of an Offer, including by use thereof, constitutes Your acceptance of these Offer Terms and Your acknowledgment and representation of compliance with the Eligibility Criteria.

2.  Eligibility

To be eligible for an Offer, You must have a valid active Account, in good standing, with a valid payment method, and You must meet all other criteria as specified by Apple, including, but not limited to, in the Eligibility Criteria.

3.  Availability and Expiration

An Offer may be offered or provided for a limited time and may expire on a specific date or after a specific period of time, as specified by Apple, including, but not limited to, in the Eligibility Criteria. If an Offer includes an expiration date, any unused portion of the Offer will also expire upon that date. Any unused portion of an Offer will automatically expire upon termination of Your Account, Your rejection or revocation of consent to or breach of the Terms of Service or these Offer Terms. An Offer is void where prohibited by law and in the event of fraud, mistake, or misrepresentation. Apple reserves the right to revoke, cancel, or recoup an Offer, in whole or in part, that was obtained or used in violation of these Offer Terms, the Terms of Service, or any other applicable agreement, or through any fraud, mistake, or misrepresentation relating to the Offer.

4.  Restrictions

Offers are non-transferable, not for resale, cannot be redeemed for cash or other value, cannot be used to cover pre-existing invoices or debts, and, unless otherwise specified by Apple, may not be combined with other offers or discounts.

5. Use

Any Offer that is automatically applied to Your Account will be available for use as specified by Apple including, but not limited to, in the Eligibility Criteria. If the total cost of Your transaction or invoice exceeds the amount of the Offer, You will be responsible for paying the remaining balance using a valid payment method in accordance with the Terms of Service. Apple may not always notify You when an Offer is issued, exhausted, or expired. You are responsible for monitoring Your Account balance and the status of any Offer.

6.  Taxes

Your use of promotional credits, incentives, or other offers offered by Apple, is subject to Section 7(e) of the Terms of Service. For the avoidance of doubt, You are responsible for bearing and remitting any taxes that arise and/or apply to Your use of any Offer. Offers may not be applied towards Your payment of taxes or other fees. Your payment of any taxes or other fees will not count towards earning any Offer.

7.  Currency

If the currency of Your Offer is different from the currency set in Your Account, the Offer amount will be converted to the currency of Your Account based on Apple’s then-current currency conversion practices. Apple is not responsible for any differences in conversion rates or any resulting changes in the value of Your Offer.

8.  No Warranties or Guarantees

Apple does not warrant or guarantee the performance of the Services, or Your use thereof, in connection with any Offer. You acknowledge and agree that Apple is not responsible for any losses or damages arising from any Offer or Your acceptance or use thereof.

9.  Changes to Terms

Apple may modify or amend these Offer Terms at any time upon reasonable notice to You. You agree to regularly visit https://ads.apple.com/promo-terms or https://ads.apple.com/cn/promo-terms, or another accessible location as notified by Apple, and to review these Offer Terms, including for any modifications, which may be indicated by updates to the Effective Date stated at the top of the Offer Terms. You acknowledge and agree that regularly reviewing these Offer Terms for modifications is Your responsibility. Your continued acceptance or use of any Offer following any modifications or amendments of these Offer Terms shall constitute Your acceptance of such modifications or amendments.

10.  Termination

Either Party, in its sole discretion, may terminate these Offer Terms at any time upon notice to the other Party as specified within the Terms of Service. Except as expressly otherwise provided in these Offer Terms or the Terms of Service, or as required by applicable law, if You terminate these Offer Terms with Apple, upon such termination: (i) You will immediately cease use of all Offers; (ii) You will not accept or use any new Offers; and (iii) any unused portion(s) of all Offers will automatically expire. Your rejection or revocation of consent to the Terms of Service, will serve as Your termination of these Offer Terms. If Apple terminates these Offer Terms with You, You will not accept or use any new Offers, but You may continue to use Offers, or portions thereof, that You accepted prior to termination unless: (i) Apple’s termination of these Offer Terms was for cause; (ii) either Party has terminated its agreement to the Terms of Service; (iii) Apple has terminated, suspended, modified, or restricted Your access to the Services; or, (iv) You no longer meet all Eligibility Criteria.
